The terms for using SmokeOps.

By creating an account, accepting an invitation, or using SmokeOps, you agree to these Terms on behalf of yourself and, when applicable, the business you represent. You must be legally able to enter this agreement and authorized to act for that business.

SmokeOps is a business service, not a consumer product. Account owners are responsible for deciding which employees, managers, contractors, and locations may access their business account.

SmokeOps provides tools for inventory records, receiving, counting, barcode use, scanning, ordering guidance, reporting, and optional sales analysis. Available features and location limits may vary by plan, written agreement, or pilot arrangement.

Subject to these Terms and payment of applicable fees, SmokeOps gives the customer a limited, non-exclusive, non-transferable right to use the service for its own internal business operations during the service term. The customer does not receive ownership of SmokeOps or a right to resell the service.

A demonstration account is for evaluation only, may have limited features, and must not be used for real store operations. It may be suspended for misuse. Demonstration records are sample data and may be removed when the demonstration ends.

The customer is responsible for lawful use of the service, authorized staff access, initial inventory accuracy, scanning practices, receiving records, product decisions, physical counts, and review of suggested product matches and recommendations. Where a customer uses optional sales analysis, the customer is responsible for providing complete and accurate source records.

The customer must keep account information current, protect passwords and devices, promptly remove former staff, assign appropriate access, and notify SmokeOps of suspected unauthorized access. Activity made through a customer account may be treated as authorized until SmokeOps is notified otherwise.

Inventory quantities, confidence ratings, forecasts, and order suggestions are decision-support tools only. They can be inaccurate when records are incomplete, products are mismatched, receiving or adjustments are not entered, or physical counts are outdated. The customer must review important business decisions independently.

SmokeOps does not buy goods for a customer, place vendor orders, determine product legality, provide legal or tax advice, or replace physical verification. A confidence score is not a promise of actual quantity, demand, profitability, or future sales.

As between SmokeOps and the customer, the customer retains its rights in the business information it submits. The customer authorizes SmokeOps to use that information as needed to provide, support, secure, maintain, and improve the service and to meet legal obligations.

The customer represents that it has the right to provide the information it submits, including information concerning employees, customers, suppliers, and other third parties. The customer must not provide full payment-card details, passwords, private access codes, or information prohibited by law or agreement.

Do not access another customer's account, bypass protections, interfere with the service, upload harmful material, or use SmokeOps for unlawful activity. We may suspend access to protect the service, customers, or the public, or to comply with law.

You may not copy, misuse, or attempt to discover the inner workings of the service except where applicable law does not permit that restriction. You may not test for security weaknesses without written permission, use harmful automated activity, misrepresent records to support unlawful conduct, or remove ownership notices.

Plan prices cover the stated number of active locations. Setup, catalog cleanup, on-site work, equipment, custom work, and data cleanup are separate unless included in writing. An archived location may keep history but is not an active location.

Subscription fees are billed in advance unless a written agreement says otherwise. A payment provider may process payments, invoices, taxes, and payment-method updates. The customer is responsible for applicable taxes other than taxes based on SmokeOps income. Fees are non-refundable except where law or a written agreement requires otherwise.

A failed subscription payment begins a seven-day grace period. If the balance is not resolved, SmokeOps may pause access until payment is confirmed. A canceled subscription may remain available through its paid term. Approved pilots or billing exemptions are governed by their written terms.

SmokeOps may work with payment services, point-of-sale records, barcode scanners, printers, tablets, and other products supplied by others. Their own terms and availability apply. SmokeOps is not responsible for another company's service, changes, compatibility, or outage.

Unless included in writing, the customer owns and maintains its devices, internet connection, point-of-sale account, labels, consumables, and supplier relationships. Lost or damaged equipment and employee misuse are the customer's responsibility after delivery.

SmokeOps aims to provide a dependable service but does not promise uninterrupted or error-free availability. Maintenance, security work, events outside our control, and failures of other services may affect access. Support priorities and response targets are those stated in a customer's plan or written agreement.

SmokeOps may change features to improve security, reliability, or usability. We will communicate material reductions to paid service when reasonably practical. Pilot and early-access features may change or be withdrawn and may have additional limitations.

SmokeOps may suspend access for overdue payment, security risk, unlawful use, material breach, or conduct that threatens another customer or the service. Where practical, SmokeOps will provide notice and an opportunity to correct the issue. The customer may stop using the service and cancel as allowed by its plan or agreement.

When service ends, access ends and information is handled under the Privacy Notice and any applicable written agreement. Terms that should continue by their nature, including payment obligations, ownership, disclaimers, and liability limits, remain in effect.

To the maximum extent permitted by law, SmokeOps is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of inventory or forecast results. Some jurisdictions do not allow all warranty exclusions, so some exclusions may not apply.

To the maximum extent permitted by law, SmokeOps and its suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, goodwill, data, or inventory. Our total liability will not exceed the fees paid for the affected service during the twelve months before the event giving rise to a claim, unless a written agreement or law says otherwise.

Neither party may assign this agreement without the other’s consent, except in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets. Failure to enforce a term is not a waiver. If a term is unenforceable, the remaining terms stay effective. Neither party is responsible for delay caused by events beyond reasonable control.
